Brown-Forman Director, Capital Markets and Investments (Remote Work Opportunity) in Irving, Texas

Meaningful Work From Day One:

Director, Capital Markets and Investment advises the Treasurer, the Director of Corporate Finance, the CFO, and senior executive management regarding matters of corporate finance policy, including: (a) optimal capital structure (debt capacity and ratings, long-term financing strategy), (b) payout policy (dividends, share repurchases, and other shareholder distributions), and investments (short-term investments; retirement plan investments and strategy). The Director together with the Treasurer, (a) leads the financing of the company, which involves initiating and completing transactions in the global debt capital markets and requires maintaining relationships with banks and rating agencies; and (b) directs short-term investment strategy and, on behalf of BFC as sponsor, oversees the investment portfolios used to fund retirement plans.

What You Can Expect:

Capital structure

Advisory

  • Trusted adviser to CFO, Director Corporate Finance and Treasurer on all complex corporate finance matters; advise others in B-F’s finance organization as required

  • Assists CFO, Director Corporate Finance and Treasurer with special projects as assigned.

  • Determines and communicates B-F’s cost of capital

Financing

  • Anticipates how company, industry, and macroeconomic conditions and events will affect liquidity, interest rates, and access to capital markets

  • Models and assesses the appropriateness of various long-term capital structures to optimize Brown-Forman’s value and financial flexibility; work with the Treasurer to implement approved capital structure

  • Along with the Treasurer, develops and manages productive relationships with the financial community:

  • Manages relationships with credit facility banks (bank group) to ensure a good balance between credit provided and ancillary business gained by each bank (i.e., balancing the share-of-wallet);

  • Monitors performance of bank group members; identifies new bank group candidates develops relationships as appropriate;

  • Liaises with credit rating agencies (S&P and Moody’s) to ensure that any information requirements are met professionally and in a timely manner.​

  • Along with Treasurer, leads global capital raising efforts:

  • Develops funding strategies across the capital structure,

  • Executes debt offerings in the global capital markets, including:

  • Syndicated credit facilities with bank group members,

  • SEC-registered offerings of long-term notes (including foreign currency notes),

  • External financing of subsidiaries, as required,

  • Supervise the Manager, Global Treasury Operations in relation to private placement of short-term notes with commercial paper dealers

  • Other debt instruments as may be indicated by the funding strategy (e.g., bank bridge facilities and term loans, private placements, hybrid instruments, and so forth).

  • Ensures compliance with any debt covenants.

  • Develops annual briefing presentations and leads discussions with the rating agencies; interacts with rating agencies as needed to inform of events relevant to credit analysis (e.g, M&A, discrete shareholders distributions).

  • Advise CFO, Director Corporate Finance, Treasurer and Corporate Development regarding B-F debt capacity and the impact of prospective investments and disinvestments thereon.

  • Develops pro-forma financial statement models for our financing partners and, along with the Treasurer, recommends the optimal financing strategy for these situations.

Payout policy

  • With the Treasurer, develops, communicates, and executes a capital deployment strategy that is aligned with historic principles and the prevailing corporate strategy.

  • Analyzes historical shareholder distributions; develops and monitors metrics related to effectiveness of BFC’s payout strategies.

  • Analyzes, prepares, and delivers presentations related to BFC’s annual dividend recommendation to the senior management, including preparing such materials as provided to the Board of Directors.

  • As appropriate in light of the company’s capital deployment strategy and considering relevant environmental circumstances (such as changes in tax rules), analyzes and recommends special cash special dividends, share repurchases, and stock dividends / splits. Prepares and delivers presentations to the senior management.

  • Develops and maintains a pro-forma financial statement model used to analyze the effects of various capital deployment scenarios and related financing; including:

  • Analyzes financial metrics from the perspective of both equity and debt investors.

  • Maintains pro forma financial information on bases used by credit rating agencies

Investments

  • As a member of the Investment Committee of management's Employee Benefits Committee (CBC), bear shared fiduciary responsibility for the management of all B-F benefit plan investments, including the defined benefit plans, 401(k), non-qualified deferred compensation plan, SERP, and international benefits plans. The Investment Committee’s responsibilities include:

  • Written and verbal reports to the CBC and / or the Investment Committee at least four times per fiscal year, covering all topics required by our policies.

  • Develops investment policy, strategic and tactical asset allocation, and liability risk management decisions, and makes recommendations to the CBC and / or the Investment Committee.

  • Manages investment of plan assets, including performance monitoring and reporting, consultant evaluation, and evaluation and recommendation of fund / manager additions and terminations.

  • Develops optimal funding strategy, investment strategy and investment vehicle for all of the U.S. defined contribution and defined benefits retirement plans

  • Support the Total Rewards team in implementation and monitoring of international retirement plans

  • Determines and documents accounting assumptions for accurate financial reporting related to our pension plans.

  • Oversees the preparation of plans’ financial statements in conformity with GAAP and regulatory regimes (tax, ERISA); supports independent accountant’s audit of retirement plan financial statements.

  • Oversees external investment advisers and plan administrators, and, from time time, administers requests for proposals from incumbent and candidate firms to ensure that services procured are of the best value for B-F and its employees (i.e., appropriate balance of service quality and fees).

  • Develops and oversees implementation of our short-term investment program to ensure that B-F realizes maximum value of excess cash (i.e., that which is determined to be excess compared to short-term liquidity demands of our business) in compliance with related policies.

We Are Looking For People Who:

  • MBA from top-tier, nationally recognized program with at least 7 years of experience in relevant corporate finance, banking, or consulting roles.

  • Strong analytical skills with formal academic training in corporate finance and solid financial modeling experience.

  • Demonstrated ability to manage complicated financial operations and processes to deliver consistently high quality results within tight deadlines. Ability to balance multiple projects and respond quickly to high-priority issues.

  • Unquestionable integrity

What Makes You Unique:

  • Capital markets experience

  • Investment experience in the context of funded corporate retirement plans, such as qualified pension plans. Experience analyzing and monitoring all asset classes, including hedge funds, private equity, real estate, global fixed income, and global equity investments.

  • International finance or business experience

  • Certified Treasury Professional Designation

  • Chartered Financial Analyst (CFA) Charterholder or Certified Public Accountant / Chartered Accountant (CPA / CA)
